VW Passat s označením B5 bol založený na platforme Volkswagen Group B5. Na trh bol uvedený v roku 1996 v kontinentálnej Európe, vo februári 1997 vo Veľkej Británii a v roku 1998 v Severnej Amerike. Jeho platforma PL45 bola zdieľaná s prvou generáciou „Typ 8D“ Audi A4, ktorá bola predstavená o dva roky skôr. Faceliftom prešiel v roku 2001 - označenie B5.5.
Nástupca prišiel v roku 2005 v podobe novej generácie Passatu s označením B6 (Typ 3C).
